TERMS OF USE

Welcome to Vidlla (“Vidlla”, “we”, “us”, or “our”). These Terms of Use (“Terms”) govern your access to and use of Vidlla.com, including our website, marketplace, and related services (collectively, the “Platform”).

By creating an account, accessing, browsing, listing a product, purchasing a product, participating in our affiliate or referral programme, or otherwise using Vidlla, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not use Vidlla.

1. About Vidlla

Vidlla is an online marketplace that connects buyers and sellers for secured and safe shopping.

Vidlla does not generally own, manufacture, sell, or supply the products listed by sellers on the Platform. Sellers are independent users of the Platform and are responsible for the products and services they offer.

Our role includes providing the technology and marketplace infrastructure through which buyers and sellers can discover products, initiate transactions, communicate through available contact methods, and use our payment and transaction-protection processes.

A seller’s listing, product, description, price, images, videos, or other information does not mean that Vidlla is the seller of that product or guarantees the product.

2. Eligibility and Accounts

You may use Vidlla only if you are legally capable of entering into an agreement under applicable law.

Users who are under the age of 18 may use Vidlla only with the permission and involvement of a parent or legal guardian where required by applicable law.

You are responsible for ensuring that the information you provide when creating an account is accurate and reasonably up to date.

You are responsible for maintaining the confidentiality of your login credentials and for activities carried out through your account.

You must not:

– Create an account using false or misleading information
– Impersonate another person
– Create accounts for fraudulent purposes
– Use another person’s account without authorization
– Sell, transfer, or otherwise improperly share your account
– Attempt to bypass account restrictions or suspensions

You should notify Vidlla if you believe that your account has been accessed without authorization.

3. Marketplace Role

Vidlla provides a platform through which buyers and sellers can interact.

Unless expressly stated otherwise, Vidlla is not:

– The seller of products listed by users
– The manufacturer of listed products
– The owner of products listed by sellers
– The delivery company responsible for delivering products
– A guarantor of the quality, safety, legality, authenticity, or suitability of products

Sellers are responsible for fulfilling their obligations to buyers.

Buyers are responsible for reviewing listings carefully and making informed purchasing decisions.

4. Product Listings

Sellers are responsible for ensuring that their listings are accurate, complete, lawful, and not misleading.

A seller must provide truthful information about the product, including where applicable:

– Product name
– Description
– Condition
– Price
– Location
– Images and videos
– Availability
– Relevant specifications
– Material defects or limitations

Sellers must not deliberately hide important information that could reasonably affect a buyer’s purchasing decision.

Sellers must also have the legal right to sell the products they list.

5. Listing Review by Vidlla

Vidlla may review, moderate, approve, reject, restrict, edit, or remove listings before or after publication.

However, the fact that a listing has been reviewed, approved, or made available on Vidlla does not mean that Vidlla guarantees that:

– The product is genuine
– The product is safe
– The product is legal
– The seller owns the product
– The seller’s description is completely accurate
– The product will meet the buyer’s expectations
– The product will be delivered
– The seller will fulfil the transaction

Our review process is intended to help maintain the quality and safety of the marketplace, but it does not replace the seller’s responsibility for their products or the buyer’s responsibility to exercise reasonable care.

Vidlla may remove or restrict a listing whenever we believe this is necessary to protect users, the Platform, or comply with applicable law or our policies.

6. Seller Responsibilities

Sellers are solely responsible for:

– Having the legal right to sell their products
– Ensuring products are accurately described
– Ensuring products are available for sale
– Packaging products appropriately
– Arranging delivery
– Providing accurate delivery information
– Responding reasonably to buyers
– Delivering the product ordered by the buyer
– Complying with applicable laws and regulations
– Resolving legitimate product-related issues
– Complying with these Terms

Sellers must not use Vidlla to facilitate fraud, deception, illegal transactions, or transactions involving prohibited products.

7. Buyer Responsibilities

Buyers are responsible for:

– Reviewing product information before purchasing
– Providing accurate information necessary to fulfil an order
– Paying the applicable amount
– Cooperating reasonably with the seller regarding delivery
– Inspecting products after delivery
– Reporting problems within the applicable cancellation period
– Using the Platform lawfully

Buyers should not submit fraudulent, dishonest, or abusive cancellation or dispute requests.

8. Seller Contact Information and External Communication

Sellers may provide their phone number and WhatsApp link to Vidlla for display on their listings.

Where provided, Vidlla may display these contact details so that interested buyers can contact sellers directly.

Communication through a seller’s phone number or WhatsApp account may occur outside the Vidlla Platform.

Vidlla does not control communications that occur through WhatsApp, telephone calls, SMS, or other external communication channels.

Users should exercise appropriate caution when communicating or exchanging information outside Vidlla.

Where a transaction is made through Vidlla’s purchasing and escrow system, users should retain relevant transaction information and use Vidlla’s available dispute process if a problem arises.

9. Orders and Payments

When a buyer places an order through Vidlla, the buyer agrees to pay the applicable purchase price and any applicable fees displayed during the transaction.

Payments may be processed through Paystack and other payment gateways supported by Vidlla.

Payment processing may be subject to the terms and policies of the applicable payment provider.

An order may be considered successfully paid only after Vidlla receives confirmation of the applicable payment.

10. Escrow and Transaction Protection

Vidlla may hold funds associated with eligible transactions through its transaction or escrow process before releasing applicable funds to the seller.

The purpose of this process is to provide a period during which the buyer can receive and inspect the product and raise a legitimate issue where necessary.

Vidlla is not the seller of the product and does not guarantee the product. The escrow process is a transaction-management and dispute-resolution mechanism.

10.1 Seller Delivery Period

Sellers are responsible for arranging delivery of products purchased through Vidlla.

If a seller has not delivered an order within 48 hours, the buyer is encouraged to initiate a cancellation request through their Vidlla dashboard.

The 48-hour period is intended to give the buyer an opportunity to raise a delivery issue before the transaction proceeds further.

10.2 Four-Day Transaction Period

Vidlla generally provides a four-day period associated with the transaction before funds are automatically released according to the Platform’s process.

This period is intended to give the buyer reasonable time after delivery to inspect and test the product and determine whether it is substantially as described.

If the buyer receives a product that is wrong, materially defective, significantly different from the listing, or otherwise gives the buyer a legitimate reason to dispute the transaction, the buyer should submit a cancellation request through the order history section of their dashboard within the applicable period.

10.3 Cancellation Requests

A buyer may request cancellation of an order through their dashboard.

Submitting a cancellation request does not automatically guarantee a refund.

Vidlla may review the request before deciding whether a refund should be issued.

Where necessary, Vidlla may communicate with both the buyer and seller to understand the circumstances and attempt to reach a fair resolution.

10.4 Dispute Resolution

A cancellation request relating to a product or transaction may constitute a dispute for the purposes of Vidlla’s transaction process.

Vidlla may consider information provided by both parties, including:

– Product listing information
– Order information
– Payment records
– Delivery information
– Communications
– Images or videos
– Evidence submitted by the buyer or seller
– Other relevant information available to Vidlla

Vidlla may make a decision based on the information reasonably available to it.

Where a dispute is determined in favour of the buyer, Vidlla may refund the applicable amount to the buyer.

Where the dispute is not determined in favour of the buyer, the applicable funds may be released to the seller according to the Platform’s process.

Vidlla’s determination of a Platform dispute does not prevent a user from exercising any legal rights available to them under applicable law.

11. Refunds

Where Vidlla approves a refund, the refund will generally be processed through the applicable payment or transaction system.

The time it takes for refunded funds to become available may depend on the payment provider, bank, card issuer, or other financial institution involved.

Vidlla may refuse or limit refunds where a request is fraudulent, abusive, outside the applicable period, unsupported by sufficient evidence, or otherwise inconsistent with these Terms.

12. Delivery

Sellers are responsible for arranging delivery unless otherwise expressly stated.

Vidlla does not generally act as the delivery provider and is not responsible for delays, losses, damages, failed deliveries, or other issues caused by a seller, courier, logistics provider, buyer, or other third party.

Sellers remain responsible for fulfilling their delivery obligations to buyers.

13. Fees

Vidlla may charge fees in connection with transactions conducted through the Platform.

At the time of these Terms, applicable transaction charges may include:

– 2% order fee, in addition to applicable payment-gateway charges
– 2% withdrawal fee, in addition to applicable payment-gateway charges

Payment gateways may separately charge their own fees.

The applicable payment-gateway charge may currently be approximately 1.5%, but payment-gateway fees are controlled by the relevant provider and may change.

Vidlla may change its fees, introduce new fees, remove fees, or modify existing charges at any time.

Where appropriate, applicable fees will be communicated through the Platform.

14. Prohibited Products and Activities

Users must not use Vidlla to list, sell, purchase, promote, distribute, or facilitate transactions involving products or activities that are illegal or prohibited by Vidlla.

Prohibited products and activities include, but are not limited to:

Illegal Drugs and Controlled Substances

– Illegal narcotics
– Controlled substances offered unlawfully
– Products intended to facilitate illegal drug use or distribution

Weapons and Explosives

– Firearms
– Ammunition
– Explosives
– Bomb-making materials
– Illegal weapons
– Other weapons prohibited by applicable Nigerian law

Counterfeit and Infringing Goods

– Counterfeit branded products
– Fake currency
– Unauthorized copies of copyrighted works
– Products that infringe intellectual-property rights

Stolen or Fraudulently Obtained Property

– Stolen goods
– Fraudulently obtained goods
– Property that the seller does not have the legal right to sell

Financial Fraud and Unlawful Financial Products

– Fraudulent investment schemes
– Ponzi or pyramid schemes
– Fake financial instruments
– Stolen financial credentials
– Fraudulent payment instruments
– Other unlawful financial services or schemes

Dangerous or Illegal Goods

– Hazardous substances where their sale is unlawful
– Materials intended to cause unlawful harm
– Products prohibited by applicable Nigerian law or regulations

Adult and Exploitative Content

– Child sexual abuse material
– Sexual exploitation
– Human trafficking
– Sexually exploitative services
– Other illegal sexual content or activity

Wildlife and Protected Items

– Illegally obtained protected wildlife
– Protected animal parts
– Other items whose sale is prohibited by applicable law

Identity and Personal Information

Users must not sell, trade, or publicly expose another person’s sensitive personal information without appropriate authorization.

Other Prohibited Activities

Users must not use Vidlla for:

– Fraud
– Money laundering
– Scam schemes
– Phishing
– Impersonation
– Harassment
– Threats
– Malware distribution
– Unauthorized access to accounts or systems
– Manipulation of Platform features
– Fake reviews or fraudulent engagement
– Circumventing transaction or fee systems
– Any activity that violates applicable law

Vidlla may restrict additional products or categories where necessary to protect users, comply with applicable law, or maintain the integrity of the marketplace.

15. Fraud and Platform Abuse

Users must not manipulate Vidlla or its systems for fraudulent or abusive purposes.

Examples include:

– Creating multiple accounts to obtain improper benefits
– Creating fake transactions
– Submitting fraudulent cancellation requests
– Making false claims about products
– Manipulating views, likes, referrals, commissions, or rewards
– Attempting to obtain refunds dishonestly
– Circumventing applicable fees
– Using stolen payment credentials
– Attempting to manipulate affiliate attribution
– Providing false information during disputes

Vidlla may investigate suspected abuse and take appropriate action.

16. Affiliate and Referral Programme

Vidlla may offer an affiliate, referral, invitation, or similar programme.

Participation in such programmes is subject to these Terms and any additional rules or conditions communicated by Vidlla.

Affiliate or referral participants must not:

– Generate fraudulent referrals
– Use misleading advertising
– Impersonate Vidlla
– Make false claims about Vidlla
– Manipulate referral tracking
– Use spam
– Use deceptive methods to generate commissions
– Create artificial transactions
– Engage in any activity designed to improperly obtain commissions or rewards

Vidlla may withhold, reverse, or cancel commissions or rewards associated with fraudulent, invalid, cancelled, refunded, or otherwise ineligible activity.

Vidlla may suspend or terminate participation in the affiliate or referral programme where necessary.

17. User Content

Users may submit content to Vidlla, including photographs, videos, descriptions, reviews, product information, and other material (“User Content”).

You retain ownership of User Content that you have the legal right to own.

However, by submitting User Content to Vidlla, you grant Vidlla a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, distribute, adapt, format, modify, and otherwise use that content as reasonably necessary to operate, improve, advertise, promote, and provide the Platform.

This licence may continue for as long as reasonably necessary to operate the Platform and fulfil legitimate business or legal purposes, including where copies may remain in backups or systems for a reasonable period.

You represent that you have the necessary rights and permissions to submit the User Content and grant the rights described above.

You must not upload content that infringes another person’s intellectual-property, privacy, publicity, or other rights.

18. Reviews and Feedback

Where Vidlla allows users to submit reviews, ratings, comments, or feedback, such content must be truthful and based on genuine experiences.

Users must not submit:

– Fake reviews
– Reviews written in exchange for undisclosed improper benefits
– Reviews intended to unfairly manipulate sellers or buyers
– Threatening or abusive content
– Defamatory or unlawful content

Vidlla may remove content that violates these Terms or applicable law.

19. Intellectual Property

The Vidlla Platform, including its software, branding, logos, design, text, graphics, features, and other materials owned or licensed by Vidlla, is protected by applicable intellectual-property laws.

You may use Vidlla only for its intended purposes.

You must not copy, reproduce, modify, distribute, reverse engineer, scrape, exploit, or commercially use Vidlla’s proprietary materials without appropriate authorization, except where permitted by applicable law.

20. Account Suspension and Termination

Vidlla may suspend, restrict, or terminate an account where we reasonably believe that the user:

– Violated these Terms
– Violated applicable law
– Engaged in fraud
– Attempted to defraud another user
– Used the Platform abusively
– Listed prohibited products
– Manipulated Platform systems
– Created a security risk
– Provided materially false information
– Repeatedly violated marketplace rules
– Otherwise created a significant risk to Vidlla or its users

We may also remove, restrict, or disable individual listings or transactions.

Where appropriate and reasonably possible, we may provide notice or an explanation for an account action, but we may withhold information where disclosure could compromise security, fraud investigations, legal obligations, or another legitimate interest.

21. Account Closure by Users

Users may request closure of their Vidlla account by contacting Vidlla.

Account closure does not necessarily result in immediate deletion of all information.

Vidlla may retain information where necessary for:

– Legal compliance
– Financial and accounting records
– Fraud prevention
– Dispute resolution
– Transaction history
– Enforcement of agreements
– Security
– Other legitimate or legally required purposes

Our handling of personal information is also governed by our Privacy Policy.

22. Third-Party Services

Vidlla may integrate with or rely on third-party services, including payment providers, messaging platforms, analytics providers, advertising platforms, hosting providers, delivery providers, and other services.

Third-party services operate according to their own terms and policies.

Vidlla is not responsible for the independent operation, availability, security, or policies of third-party services.

23. No Guarantee of Continuous Availability

We aim to keep Vidlla available and functioning properly, but we do not guarantee that the Platform will always be:

– Available
– Error-free
– Uninterrupted
– Secure from every possible threat
– Free from bugs or technical problems

The Platform may occasionally be unavailable because of maintenance, upgrades, technical problems, third-party failures, security incidents, or circumstances outside our reasonable control.

24. Disclaimer Regarding Products

Vidlla provides a marketplace and transaction infrastructure.

To the extent permitted by applicable law, Vidlla does not provide warranties regarding products listed by sellers, including warranties concerning:

– Quality
– Authenticity
– Safety
– Condition
– Availability
– Fitness for a particular purpose
– Accuracy of descriptions
– Seller representations

The seller remains primarily responsible for the product they list and sell.

Nothing in these Terms removes rights or protections that cannot legally be excluded under applicable law.

25. Limitation of Liability

To the maximum extent permitted by applicable law, Vidlla will not be responsible for losses arising from matters outside our reasonable control, including:

– Seller misconduct
– Buyer misconduct
– Product defects
– Counterfeit products
– Delivery delays
– Courier or logistics failures
– Communications occurring outside Vidlla
– WhatsApp or telecommunications failures
– Payment-provider failures
– Bank or financial-institution delays
– Third-party service failures
– Unauthorized actions by users
– Temporary Platform interruptions

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable Nigerian law.

26. Indemnification

To the extent permitted by applicable law, you agree to be responsible for losses, claims, liabilities, costs, or reasonable expenses arising from your:

– Violation of these Terms
– Violation of applicable law
– Fraudulent or unlawful activity
– Misuse of the Platform
– Infringement of another person’s rights
– User Content that violates another person’s rights
– Breach of your obligations to another user

27. Changes to the Platform

Vidlla may modify, add, remove, suspend, or discontinue features of the Platform from time to time.

This may include changes to:

– Marketplace features
– Fees
– Payment methods
– Affiliate programmes
– Listing requirements
– Transaction processes
– Escrow processes
– User interfaces
– Eligibility requirements

We may make such changes where reasonably necessary for business, technical, security, legal, or operational reasons.

28. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we may update the “Last Updated” date at the beginning of these Terms.

Where appropriate, we may provide additional notice of material changes.

Your continued use of Vidlla after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

29. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.

Subject to any mandatory dispute-resolution rights available under applicable law, disputes arising from or relating to these Terms or your use of Vidlla may be brought before the appropriate courts or other legally recognized dispute-resolution bodies in Nigeria.

30. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally possible.

The remaining provisions will continue in full force and effect.

31. No Waiver

If Vidlla does not immediately enforce a provision of these Terms, this does not mean that Vidlla has permanently waived its right to enforce that provision later.

32. Entire Agreement

These Terms, together with the Privacy Policy and any other policies or rules expressly incorporated into them, constitute the agreement between you and Vidlla regarding your use of the Platform, except where additional terms apply to a particular service or programme.
